A corporate board is supposed to represent shareholders, and keep the CEO in line. And replace that CEO if needed. The Disney board is basically hand-picked by the current CEO, Bob Iger, and refuses to hold Iger responsible for the things going wrong. And there is a lot going wrong.
Nelson Peltz of the Trian Group has started (or restarted) his proxy fight to get some control of the Disney board, in an effort to turn the company around. The video does include a nice, brief recap of how we got here, and an explanation of some of the finance terms in use.
The biggest threat facing Bob Iger and his reign at Disney is one Nelson Peltz, and unfortunately for Iger, Nelson Peltz is done playing games, because shit just got real.
